Social Media Mentors - Terms & Conditions

Definitions

 

The Client : The company or individual requesting the services of Social Media Mentors.
Social Media Mentors: Primary designer / site owner / consultant / channel manager / employees or affiliates.

 

 
General

 

Social Media Mentors will carry out work only by submitting this form and selecting ‘I agree to the terms and conditions’. SMM will carry out work only for clients who are 18 years of age or above.

 

 
Website Design

 

Whilst every endeavor will be made to ensure that the website and any scripts or programs are free of errors, Social Media Mentors cannot accept responsibility for any losses incurred due to malfunction, the website or any part of it.

The website, graphics and any programming code remain the property of Social Media Mentors until all outstanding accounts are paid in full.

 

Social Media Mentors will not be liable or become involved in any disputes between the site owner and their clients and cannot be held responsible for any wrongdoing on the part of a site owner. eg. Any disputes re content/images that have been provided to us for inclusion on the site.

 

In no event shall Social Media Mentors be liable for any direct, indirect, consequential, special and exemplary damages, or any damages whatsoever, stemming from the  use or performance of a client website or from any information, products and services provided through client sites, even if this website has been advised of the possibility of such damages.

 

 

Compatibility and Content Management Systems

 

Social Media Mentors does not produce any development, and relies solely on the following Content Management system www.wix.com therefore it is limited to the capacities of the software. Social Media Mentors cannot be held responsible for any of these limitations. After launch Social Media Mentors will endeavor  but is not obliged, to support The Client with any technical issues where possible, however it is the client’s responsibility to liaise directly with the customer support of each CMS unless Social Media Mentors has been commissioned for website updates.

 

All websites will be tested for mainstream browsers: Firefox, Safari, Internet Explorer, Google Chrome and Opera. The client understands that some websites may not work on computer devices have software that is out of date, and therefore may not be visible to a small percentage of its audience.

 

 
Website Optimisation

 

Due to external factors, such as changes to the way search engines rank websites, we cannot offer any guarantees regarding the position we will achieve for websites.  The process of optimizing websites itself will bring in more traffic and hits thus clients will see site visits increase naturally. We cannot accept liability for any change in rankings, or drop off in the position of your website due to changes in the algorithms of the search engines or the factors that they use to rank websites.

 

We use 'white hat techniques' when optimizing websites and always aim to achieve a top ten ranking for your website within six months of undertaking the optimization process.

 

Content

 

Social Media Mentors reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial. Social Media Mentors cannot take responsibility for any copyright infringements caused by materials submitted by or used by the client in future on their website or social media channels. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.

 

The client agrees to make available as soon as is reasonably possible to Social Media Mentors all materials required to complete the site to the agreed standard and within the set deadline. Social Media Mentors will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.

 

Social Media Activities
 

All consultancy work will be presented in written format using a recommendation report document. The tasks assigned and quote given for any consultancy will be based on the brief submitted via the Social Media Mentors Briefing Form. All training and consultancy efforts will focus on the client's requirements to achieve the desired targets.

 

Social Media Mentors shall provide  and perform the Consulting Services with a reasonable level of skill and care in accordance with a degree of skill, diligence, prudence and foresight which, as at the relevant time, would reasonably be expected from a skilled and experienced supplier of Social Media services seeking in good faith to comply with its contractual obligations.

 

Social Media Mentors guarantees that the Services supplied by it shall comply with the specification contained in each contract and in the absence of any such specification shall comply with Social Media Mentors' appropriate specification.

 

With the supply of Social Media services, Social Media Mentors provides no guarantees as to the Return on Investment to be gained for the Client, and can not be liable for any content shared with the public, with reference to the Client.
 

The Client acknowledges that Social Media Mentors ability to provide the Services is dependent upon the full and prompt co-operation of the Client (which the Client agrees to provide) as well as the accuracy and completeness of any information and data the Client provides to Social Media Mentors. Accordingly, the Client shall in a timely manner provide Social Media Mentors with access to, and use of, all information, data and documentation reasonably required.

 

The Client agrees to follow Social Media Mentors' reasonable instructions and procedures with respect to the Services. The Client agrees to provide Social Media Mentors with all relevant information and images, in an acceptable format, as requested by Social Media Mentors prior to project commencement.

 

 

Events
 

Tickets to our training sessions can only be booked online via our website or partner sites. We accept online payments via Paypal only. You do not require a PayPal account to pay, you can simply enter your card details on the PayPal website and the transaction will be processed like any normal card payment. Only when your payment has been received (via PayPal or invoice as agreed) or confirmed online will we issue your Ticket via email. You should print this out and bring it with you to enter the event.

 

Publicity

 

All media releases and public announcements by either party relating to these Terms of Business or its subject matter, including promotional or marketing material, shall be co-ordinated with the other party and approved jointly by the party prior to release. Social Media Mentors shall not be held responsible for the use of such material as referred to by media, once information approved by the client has been submitted to the media.

 

Rates and Quotes

 

Social Media Mentors will provide a quote estimate based on initial understanding of the Client’s requirements. After the completion of the Social Media Mentors Briefing Form, TSocial Media Mentors will produce an invoice with the finalized costings based on the information provided by The Client. See paragraph below for details of payment schedule. All services quoted will include the following structure:

 

Logo Design: quote will include 3 logo sketches in various colourway for the client to choose 1 for final development with any feedback. If none of the 3 solutions are suitable the client must provide detailed feedback and briefing for the creation of 3 more logo sketches. Once agreed on one option, Social Media Mentors will then develop the logo to which there can be one final stage of amendments if necessary. Any additional changes amendments after this stage will incur a £50 p/h fee.

 

Web Design: quote will include 3 sketches for the client to choose 1 for further development with any feedback. If none of the 3 solutions are suitable the client will need to provide detailed feedback and briefing for the creation of 2 more web design sketches. Social Media Mentors will then finalize the design of the website based on the choice made. Once the final design has been approved by the client the website will be developed. Any additional changes amendments after this stage will incur a £50 p/h fee.

 

Other Design: quote will be based on individual tasks and existing artwork. All additional design work will be billed at £50.00 p/h

 

Website Development: Website development will only commence once full copy has been provided using the Social Media Mentors copy submission form (or any alternative submission options agreed with Social Media Mentors). The quote given for website development will result in the completion of the website based on the brief submitted via the Social Media Mentors Submission Form, with 30min of amends included per £100 quoted.  For clarity, a website quoted at £500 will have 2.5 hours of final amends included. Any additional amends will incur a £25 p/h fee.

 

Website development quotes exclude any web / email hosting, CMS fees and 3rd party applications. Prices of these are available on www.wix.com

 

PR / Media Consultancy: The tasks assigned and quote given for any consultancy will be based on the brief submitted via Social Media Mentors Briefing Form. Once this work is completed, any additional work will be invoiced at £100 p/h.


Payment of Accounts

 

After the Client has submitted Social Media Mentors Submission Form,  details of the assigned services will be outlined in the Specification Document which will be sent along with the Client Invoice.A non-refundable deposit of 50% (Of total job cost) is required with all projects before any design work will be carried out.

 

Once a website has been designed and completed the final balance of payment is then due in accordance with our payment terms. Any outstanding accounts for work carried out by Social Media Mentors are required to be paid in full, no later than 30 days from the date of the invoice unless by prior arrangement with Social Media Mentors.

 

Once a deposit is paid and work completed you are obliged to pay the balance of payment in full. We will contact clients via email and telephone to remind them of such payments if they are not received when due.

 

If accounts are not settled or Social Media Mentors’ have not been contacted regarding the delay, access to the related website may be denied and web pages removed, we will then pass such cases to the Small Claims Court to pursue payment, non payment can result in county court judgements (ccj's) being added to the clients credit rating.

 
Schedule

 

For the avoidance of doubt, Social Media Mentors shall not be liable to the Client or be deemed to be in breach of these Terms of Business by reason of any delay in performing, or any failure to perform, any of its obligations under these Terms of Business, if the delay or failure was due to any cause beyond Social Media Mentors's control, due to any instructions given by the Client or in any delay caused by the Client.

 

The Client will provide all materials for any commissioned work, 2 weeks prior to the deadline in order to respect Social Media Mentorss work schedule and ultimately not impact other clients who also have pre-defined deadlines.

To ensure timely submission of materials needed to produce a professional finished product there is a 5% per week additional penalty charge. which will be levied to the final outstanding bill. For clarity a £500 initial price will accrue a £25 per week late submission charge.  

 
Your Privacy

 

We shall under NO CIRCUMSTANCES share or sell any of your details with third party companies, without your express permission and we will only email you or contact you about work related matters.

Complaints Procedure

 

Informal Procedure: Anyone who experiences a problem with their web service provided by Social Media Mentors should raise the matter directly by emailing info@socialmediamentors.co.uk do so, giving sufficient information to locate the material (such as an url) and clearly outlining the grounds for complaint. Social Media Mentors will approach the individual responsible for the material in question with a view to resolving the matter to the satisfaction of the complainant.

 

Formal procedure: The formal complaints procedure should only be used where the complainant feels that the nature of the complaint is too serious to be dealt with informally, or where a satisfactory conclusion has not been reached after following the informal procedure.

 

A formal complaint should be made in writing to Social Media Mentors, who will acknowledge receipt and ensure that the matter is looked into as soon as possible. An initial response to any complaint can be expected within seven days of its receipt; a full and considered response to the complaint should be completed within 30 days and any subsequent remedy implemented with the minimum of delay.
